By accessing or using the Automate The Trades platform (the “Service”) operated by Automate The Trades (“we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including individual users and organisations.

2. Description of Service

Automate The Trades is an AI-powered job management platform designed for New Zealand trade businesses, including painters and plasterers. The Service provides tools for managing jobs, clients, quotes, invoices, contractors, and business reporting.

Features may include AI-assisted job creation, integration with third-party services (such as Xero and Google Calendar), and team collaboration tools.

3. Account Registration

To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

4. Organisations and Teams

The Service allows you to create or join organisations. Organisation administrators are responsible for managing members, permissions, and organisation settings.

Data entered by organisation members is shared within the organisation as configured by the organisation's settings. You are responsible for ensuring that all members of your organisation comply with these Terms.

5. Subscriptions and Payment

Certain features of the Service require a paid subscription. Subscription plans, pricing, and features are described on our website and may change from time to time.

• Subscriptions are billed on a recurring basis (monthly or annually) as selected at the time of purchase
• Payment is processed through our third-party payment provider (Stripe)
• You authorise us to charge your payment method for all applicable fees
• Subscription fees are non-refundable except as required by New Zealand consumer law

5.1 Free Trial

We may offer a free trial period for new users. At the end of the trial, your subscription will begin unless you cancel before the trial expires.

5.2 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to your paid features until the end of your current billing period.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit any harmful, offensive, or unlawful content
• Attempt to gain unauthorised access to the Service or its related systems
• Interfere with or disrupt the Service or its infrastructure
• Use the Service for any purpose other than its intended business use
• Reverse-engineer, decompile, or disassemble any part of the Service

7. Your Data

You retain ownership of all data you enter into the Service (“Your Data”). By using the Service, you grant us a limited licence to use, process, and store Your Data solely for the purpose of providing the Service to you.

You are responsible for the accuracy and legality of Your Data. You must ensure that your use of the Service, including the storage of client and business data, complies with the New Zealand Privacy Act 2020 and all other applicable laws.

8. AI-Powered Features

The Service includes AI-powered features that assist with job creation, quoting, and other business tasks. While we strive for accuracy, AI-generated content is provided as a suggestion and should be reviewed by you before use.

We do not guarantee the accuracy, completeness, or suitability of AI-generated content. You are responsible for reviewing and verifying all AI-assisted outputs before relying on them for business decisions.

9. Third-Party Integrations

The Service may integrate with third-party services such as Xero, Google Calendar, and others. Your use of these integrations is subject to the respective third-party terms and privacy policies.

We are not responsible for the availability, accuracy, or reliability of third-party services. You authorise us to exchange data with connected third-party services as necessary to provide the integration features.

10. Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by Automate The Trades and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

The Automate The Trades name, logo, and related branding are our trademarks. You may not use them without our permission.

11. Limitation of Liability

To the maximum extent permitted by New Zealand law, Automate The Trades shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under New Zealand law, including under the Consumer Guarantees Act 1993.

12. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis. We make no warranties, expressed or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

13. Indemnification

You agree to indemnify and hold harmless Automate The Trades and its directors, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service or your violation of these Terms.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, we will handle your data in accordance with our Privacy Policy.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of New Zealand.
